• Upload or share unlawful or harmful content

6. USER ACCOUNTS

For registered access or institutional use:

• You must maintain confidentiality of login credentials
• You are responsible for all activities under your account
• You must immediately notify us of any unauthorized use
• We may suspend or terminate access if misuse or breach is detected

7. PROHIBITED USES

All content, source code, data, documentation, AI models (including SADI-M and SADI-GPTM), user interfaces, designs, logos, and trade names are the exclusive intellectual property of SADI Inc. or its licensors.

You may not use any SADI trademark, trade name, or branding without prior written consent.

All rights not expressly granted herein are reserved by SADI Inc.

9. FEEDBACK AND SUBMISSIONS

Any feedback, suggestions, questions, or improvements you provide regarding the Services are considered non-confidential and may be used by SADI without restriction or compensation.

By submitting feedback, you assign all rights, titles, and interests to SADI Inc.

10. THIRD-PARTY SERVICES

Our Services may integrate with or link to third-party platforms, diagnostic devices, hospitals, or cloud services. SADI Inc. is not responsible for the practices, terms, or content of third-party providers.

Use of third-party software or APIs (e.g., DICOM viewers, PACS connectors) may be subject to separate license agreements.

11. BETA SERVICES & DEMOS

From time to time, SADI may provide access to experimental, beta, or demo versions of our Services. You acknowledge and agree that:

• Beta versions are provided “AS IS,” without warranty
• Accuracy may vary depending on deployment environment
• SADI is not liable for medical errors arising from misuse
• You will not redistribute demo software or data without permission

12. CLINICAL & REGULATORY DISCLAIMER

Unless explicitly stated, SADI Inc.’s Services are not cleared or approved by the U.S. FDA, EMA, CDSCO, or any equivalent regulatory body for autonomous clinical use.

All AI-generated results must be reviewed, verified, and interpreted by licensed clinical professionals. The Services are not intended as a replacement for professional medical advice, diagnosis, or treatment.

SADI Inc. disclaims liability for clinical outcomes unless governed by a signed institutional agreement with indemnity provisions.

13. PRIVACY POLICY

• Clinical decisions or medical errors made based on AI output
• Delays or failures caused by internet, server, or device issues

Our total aggregate liability shall not exceed the amount paid by you (if any) for use of our Services in the preceding 12 months.

17. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless SADI Inc., its affiliates, and personnel from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your:

18. TERMINATION

• Institutional offboarding or license expiration
• Inactivity beyond 12 months

These Terms shall be governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.

3. Proceedings held in Washington, D.C., unless agreed otherwise

Class actions and jury trials are waived to the maximum extent permitted by law.

20. EXPORT COMPLIANCE

You agree to comply with all applicable export control laws, including but not limited to the U.S. Export Administration Regulations (EAR). You will not export or re-export SADI Services to embargoed countries, prohibited entities, or for military/dual-use purposes without proper authorization.

21. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and Cookies Policy, constitute the entire agreement between you and SADI Inc. and supersede all prior or contemporaneous agreements.
